Terms of Service
1. Introduction
Welcome to PrimeWave Networks (“PrimeWave Networks,” “we,” “our,” or “us”).
These Terms of Service govern your access to and use of our website, services, and related communications. By accessing our website, requesting a quotation, or engaging our services, you agree to the terms applicable to your interaction with us.
Where a separate written contract, quotation, service agreement, or statement of work applies to a project, that document will govern the specific commercial and technical arrangements for that engagement. In the event of a conflict, the signed agreement will take precedence over these general terms to the extent of the conflict.
2. Our Services
PrimeWave Networks provides professional networking, IT infrastructure, and technology support services, which may include:
- Network design, installation, configuration, and maintenance.
- Structured cabling and fiber optic installation.
- Enterprise networking, routing, switching, and wireless solutions.
- Cybersecurity solutions, including firewall configuration and security assessments.
- Server deployment, storage systems, and cloud infrastructure.
- CCTV and surveillance system installation.
- IP telephony and business communication solutions.
- Backup, disaster recovery, and business continuity solutions.
- Managed IT support, consulting, troubleshooting, and technical maintenance.
The availability, scope, and delivery of any service depend on the agreed project requirements, technical feasibility, resource availability, and the terms of the relevant quotation or service agreement.
3. Enquiries, Quotations, and Project Acceptance
Submitting an enquiry through our website does not automatically create a service contract.
Quotations are based on the information available at the time of preparation and may be subject to a site assessment, technical inspection, confirmation of equipment requirements, and clarification of project scope.
Unless otherwise stated in the quotation:
- Prices and quotations are valid for the period specified in the quotation.
- Work will commence after the quotation or proposal has been accepted and any required deposit, purchase order, or other agreed prerequisite has been satisfied.
- Additional work outside the agreed scope may require a separate quotation or written approval.
- Estimated delivery dates are indicative unless a specific deadline is expressly agreed in writing.
We reserve the right to decline an engagement where the proposed work is unlawful, technically infeasible, unsafe, or outside our service capabilities.
4. Customer Responsibilities
To help us deliver services effectively, customers agree to:
- Provide accurate project information and reasonable access to the relevant premises, systems, and equipment.
- Obtain necessary permissions to access buildings, networks, devices, and third-party systems.
- Ensure that they have the authority to request changes to the systems involved.
- Provide accurate network diagrams, credentials, configurations, and other information reasonably required for the engagement through an agreed secure channel.
- Maintain appropriate backups before work that could affect existing systems, unless backup services are included in the agreed scope.
- Inform us of relevant operational constraints, safety requirements, and known technical issues.
- Pay invoices in accordance with the agreed payment terms.
Delays or additional costs caused by missing information, restricted access, undisclosed technical issues, or customer-requested changes may require an adjustment to the project schedule or price.
5. Pricing and Payment
Prices, deposits, milestones, payment deadlines, taxes, equipment costs, and other charges will be specified in the relevant quotation, invoice, or service agreement.
Unless otherwise agreed in writing:
- Customers must pay invoices by the stated due date.
- Equipment purchases, licences, subscriptions, travel, and other project expenses will be charged as specified in the quotation.
- Additional work must be approved before it is undertaken, except where immediate action is separately authorised under an agreed support arrangement.
- Any applicable late-payment charges must be expressly agreed in writing and permitted by law.
We may suspend non-emergency work for overdue payments after providing reasonable notice, subject to the applicable agreement and law.
6. Hardware, Software, and Third-Party Services
Our projects may involve products and services supplied by third parties, including networking equipment, servers, security appliances, cloud platforms, software licences, and internet connectivity providers.
Third-party products and services are subject to their respective licence terms, warranties, service levels, and policies.
Unless expressly agreed otherwise:
- Manufacturer warranties remain subject to the manufacturer’s terms.
- Third-party subscriptions and recurring charges are the customer’s responsibility where specified in the quotation.
- We are not responsible for third-party outages, discontinued products, vendor policy changes, or service failures beyond our reasonable control.
- We will use reasonable care when selecting, installing, and configuring third-party equipment and services within the agreed scope.
7. Cybersecurity and Network Protection
We provide IT and cybersecurity services designed to reduce risks, improve security controls, and support reliable operations.
However, no network, firewall, security appliance, software platform, or security procedure can guarantee complete protection against every threat.
Customers acknowledge that security outcomes may depend on factors including system configuration, user behaviour, software updates, third-party vulnerabilities, physical security, and the customer’s ongoing maintenance practices.
Unless expressly included in a written agreement, our services do not constitute a guarantee that a cyberattack, data breach, malware infection, or unauthorised access will never occur.
Any security testing, scanning, or penetration testing must be expressly authorised by the relevant system owner and limited to the agreed scope.
8. Backup and Disaster Recovery
Where backup or disaster recovery services are provided, the applicable agreement should specify the systems covered, backup frequency, retention periods, storage locations, recovery procedures, and any agreed recovery time or recovery point objectives.
Unless expressly agreed otherwise:
- Customers remain responsible for identifying critical data and systems.
- Backup success should be monitored and recovery procedures tested according to the agreed service scope.
- Recovery times depend on factors such as data volume, infrastructure condition, connectivity, hardware availability, and the nature of the incident.
- We do not guarantee that every item of data can be recovered under every circumstance.
Customers should maintain appropriate backup arrangements and report suspected backup failures promptly.
9. Service Availability and Maintenance
For ongoing support or managed IT services, availability commitments, response times, maintenance windows, escalation procedures, and exclusions will be specified in the applicable service agreement.
Unless a specific service level is agreed in writing, response times and resolution estimates are targets rather than guaranteed deadlines.
Scheduled maintenance, emergency repairs, third-party outages, and circumstances beyond our reasonable control may temporarily affect service availability.
10. Project Changes, Testing, and Handover
Project deliverables, acceptance criteria, documentation, testing requirements, and handover arrangements will be defined in the relevant quotation or statement of work where applicable.
Customers must promptly review completed work and report material issues against the agreed scope.
Where defects arise from our failure to perform work in accordance with the agreed requirements, we will assess the issue and, where appropriate, arrange corrective work in accordance with the applicable agreement.
Changes to the original project scope may affect pricing, delivery dates, testing requirements, and completion milestones.
11. Intellectual Property
Unless otherwise agreed in writing:
- Each party retains ownership of intellectual property it owned before the engagement.
- Third-party software, firmware, designs, and documentation remain subject to their applicable licences and ownership rights.
- Ownership and permitted use of custom configurations, scripts, documentation, diagrams, and other project deliverables will be governed by the relevant agreement.
- Customers must not use our name, logo, or branding in a way that falsely implies endorsement or an unauthorised business relationship.
Customers grant us permission to use the materials and information they provide only as reasonably necessary to perform the agreed services, subject to applicable confidentiality and data protection obligations.
12. Confidentiality and Data Protection
Both parties should protect confidential information obtained through an engagement and use it only for the purposes for which it was disclosed, subject to applicable law and any separate confidentiality agreement.
PrimeWave Networks handles personal information in accordance with its Privacy Policy and applicable data protection requirements.
Customers remain responsible for ensuring that they have the necessary authority to share personal data and grant access to systems involved in a project.
Where we process personal data on a customer’s behalf, the parties may need a separate data processing agreement setting out their respective obligations.
13. Limitation of Liability
To the extent permitted by applicable law, each party will be responsible for losses arising from its breach of the applicable agreement, negligence, or other legally recognised grounds of liability.
Neither party will be liable for indirect or consequential losses, such as loss of anticipated profits or business opportunities, to the extent such exclusions are permitted by law and applicable to the circumstances.
Any financial cap on liability, exclusions, or special remedies must be clearly stated in the relevant service agreement and must comply with applicable law.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including any liability that cannot legally be excluded or limited.
14. Suspension and Termination
A project or service may be suspended or terminated in accordance with the relevant written agreement.
Where no separate procedure has been agreed, either party may give written notice of a material breach and a reasonable opportunity to remedy it before termination, where appropriate.
Immediate suspension or termination may be justified where required by law or where continued performance presents a serious security, safety, or legal risk.
Customers remain responsible for payment for properly authorised work completed and approved expenses incurred up to the effective termination date, subject to the applicable agreement and law.
Any arrangements for returning equipment, transferring credentials, handing over documentation, or securely deleting data will be governed by the relevant agreement and applicable legal requirements.
15. Website Use
You agree not to:
- Use our website for unlawful, fraudulent, or misleading purposes.
- Attempt to gain unauthorised access to our website, hosting environment, or related systems.
- Disrupt website functionality or introduce malicious code.
- Copy or reproduce website content for commercial use without appropriate permission.
- Submit false information or impersonate another person or organisation.
We may restrict access to the website where reasonably necessary to protect its security, integrity, or lawful operation.
16. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, to the extent permitted by law. Such circumstances may include natural disasters, widespread power or telecommunications failures, civil disturbances, government restrictions, and major third-party service disruptions.
The affected party should notify the other party as soon as reasonably practicable and take reasonable steps to reduce the impact.
Payment obligations for services already properly delivered remain subject to the applicable agreement and law.
17. Governing Law and Disputes
These Terms are intended to be governed by the laws of the Republic of Ghana, subject to any mandatory legal requirements that apply.
The parties should first attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved informally, either party may pursue the remedies available through the appropriate legal or dispute-resolution process in accordance with applicable law.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, website, business practices, or legal obligations.
Updated Terms will be published on this page with a revised “Last Updated” date. Changes to an existing project or service agreement will be handled in accordance with that agreement.
